Leaving aside the question of whether the professional might be better off without the appointment (if the appointment contains terms that are particularly onerous to the professional, it may be better if it is never agreed and signed), it is essential that the appointment accurately records what has been done.

Such a provision should not be accepted if, in fact, the appointment document does not include, or incorporate by reference, everything that has been agreed. It is a common feature of many proposed appointments that reference is made by the client to other documents (such as the brief, the proposed contract between the contractor and the client, or forms of collateral warranties) but these documents are not provided with the draft appointment. Such documents must be provided before the appointment is agreed and signed as they might contain unacceptably onerous conditions and obligations.
